INTRODUCTION

These Terms of Use (“Terms”) constitute a binding agreement between you and Dagangasia Network Holding Sdn. Bhd. (Registration No.: 201901035151 (1344481-V)), a private limited company incorporated in Malaysia (collectively, “DagangHalal,” “we,” “our”, or “us”).

DagangHalal provides the Halal Internal Assurance System (HIAS), an Integrated Management System (IMS) designed to support Halal-certified business entities (“you”, or “your”) in managing compliance with multiple standards such as the Halal Assurance System (HAS), the Food Safety Management System (FSMS), and the Quality Management System (QMS) standards. HIAS facilitates audit readiness, document and data management, non-conformance tracking, automated compliance workflows, and implementation of compliance requirements. HIAS also includes modules for human resources, operations, company information, and user management, while incorporating post-quantum blockchain technology for enhanced security, and other features which may be introduced by DagangHalal from time to time (collectively, the “Services”).

These Terms govern your access to and use of the Services provided through HIAS, including its web-based version and/or other online platforms, related tools or functionalities owned, managed and/or operated by DagangHalal (collectively, the “Platform”). If applicable, you may be required to enter into additional agreements with DagangHalal to formalise specific terms and conditions applicable to certain Services.

1. YOUR ACCEPTANCE

  1. By using the Platform, you acknowledge that you have read, understood, and accepted these Terms in full. You further warrant and represent to us that:
    1. You have reached the age of majority (i.e., 18 years old); and
    2. You have the full legal authority to bind your business entity to these Terms.
  2. These Terms must be read together with our Privacy Policy, which explains how we collect and process your information when you use the Platform. Our Privacy Policy is incorporated by reference into these Terms. By using the Platform, you consent to us processing your personal information in accordance with our Privacy Policy.

2. ACCEPTABLE USE

  1. You shall use the Platform solely for business operational activities directly related to the compliance, audit, and management functions provided by the Platform. Any use of the Platform for purposes beyond its intended scope, including but not limited to personal, non-compliance-related, or competitive activities, is strictly prohibited.
  2. You are responsible for ensuring that your use of the Platform complies with all applicable laws, regulations, and industry standards, including Halal certification requirements imposed by government bodies, regulatory authorities, or certification agencies.
  3. You acknowledge that your use of the Platform is subject to the timely payment of applicable fees under these Terms and compliance with these Terms, including Clause 3 (Prohibited Use).

3. PROHIBITED USE

When using the Platform, you must not, at any time, directly or indirectly:
  1. Manipulate, alter, falsify or misrepresent any audit results, certification data, or other compliance records submitted to the Platform;
  2. Use the Platform for non-Halal-related business activities or any other purpose that contradicts Halal compliance standards;
  3. Develop, build, market, or distribute any application, product, or service which is materially similar to, mimics, replicates, or otherwise competes with the Platform or any of its key functionalities;
  4. Reproduce, alter, modify, copy, distribute, sell, resell, license, or otherwise exploit any part of the Platform, including its software, code, design, or any Intellectual Property (as defined in Clause 7.1), whether directly or through any third-party programs, automated tools, or other means;
  5. Engage in any actions that may harm, disrupt, disable, overburden, or impair the functionality, performance, availability, security, or accessibility of the Platform, including but not limited to transmitting, uploading, or distributing any malware, viruses, trojans, worms, spyware, ransomware, or any other harmful or malicious software, code, or materials;
  6. Use the Platform in any unlawful, illegal, fraudulent, deceptive, or harmful way, or engage in any activities that facilitate or assist such behaviour, including but not limited to, uploading or transmitting any obscene, offensive, or otherwise inappropriate content;
  7. Engage in any unauthorised data collection activities, including but not limited to scraping, data mining, data extraction, data harvesting, on or in relation to the Platform, whether manually or through automated means;
  8. Post, distribute, reproduce, or make available any intellectual property, proprietary content, or confidential information of DagangHalal or any third party without the prior consent of the rightful owner;
  9. Modify, adapt, translate, reverse engineer, decipher, decompile, or otherwise disassemble any part of the Platform or its software or code, or attempt to do so, or cause or assist others to do so;
  10. Encourage, instruct, authorise, facilitate, or assist any third party in violating these Terms, circumventing security measures, or engaging in any prohibited activity under this clause; and
  11. Engage in any act or omission which we, at our discretion, deem harmful, unlawful, inappropriate or inconsistent with the intended purpose of the Platform.

4. USER ACCOUNT REGISTRATION AND RESPONSIBILITIES

  1. Your access to the Platform is subject to completing the offline registration process, including submitting an application form and making applicable payments, including a fee for installing relevant Internet of Things (IoT) devices at the designated location (as agreed upon between you and DagangHalal).
  2. Once your application is approved, you will receive an account activation email containing your login credentials for you to access the Platform as a registered user (“User”).
  3. You must activate your account within the prescribed period stated in the email notification, failure to activate your account within this period may result in automatic deactivation or the requirement to submit a new registration request.
  4. You are responsible for the proper use and safekeeping of the IoT devices installed at your designated location. Any loss, damage, or malfunction of the IoT devices must be promptly reported to DagangHalal. Repairs or replacements of the IoT may be subject to additional fees as determined by DagangHalal.
  5. You are responsible for maintaining the confidentiality of your login credentials such as your account ID and password. Only authorised personnel within your organisation may use your login credentials to access the Platform. If you believe your login credentials have been compromised or if you become aware of any unauthorised use of your account, you must notify us immediately in writing.
  6. We reserve the right to require a password reset if we detect or suspect any security breach, unauthorised activity, or compromise of your account.
  7. You are solely responsible for all actions and activities conducted on the Platform, whether by you or any third party with access to your account. This includes responsibility for any losses, damages, or liabilities arising from unauthorised use of your account, regardless of how such access was obtained.

5. SUSPENSION AND TERMINATION

  1. We may suspend your access to the Platform if we detect or have reasonable grounds to believe that your user account has been compromised, is being misused, or is involved in unauthorised or fraudulent activities. We will notify you of the suspension and may require additional verification before reinstating access.
  2. You may request to terminate your user account and the Services at any time by submitting a written request to us. Upon receipt, we will review your request and notify you in writing of our decision regarding the termination of your account and Services.
  3. We reserve the right to immediately terminate your user account and access to the Platform without prior notice if we determine, in our sole discretion, that you have:
    1. breached any of these Terms;
    2. engaged in any prohibited activities as prescribed in Clause 3 (Prohibited Use); or
    3. provided false, misleading, or incomplete information during your application process as a User.
  4. Upon termination of your user account and access to the Platform as prescribed in these Terms, you acknowledge and agree to the following:
    1. any unused HIAS transaction credits will be forfeited;
    2. you will loss access to the Platform and all its associated User Data, reports, or content stored within your user account; and
    3. you shall return all IoT devices to us in good working condition, subject to reasonable wear and tear. Any damage beyond normal usage, including but not limited to negligence, misuse, unauthorised modifications, loss, or failure to return the device, may result in penalty charges at our sole discretion.

6. HIAS TRANSACTION CREDIT

  1. Access to certain Services within the Platform requires the use of HIAS transaction credits (“Credits”). Credits will be deducted based on the specific features, modules, or transactions utilised within the Services.
  2. The number of Credits required may vary depending on the specific Services used and we reserve the right to adjust the pricing and credit consumption rates for Services at our sole discretion, with prior notice where feasible.
  3. You agree that you are responsible for maintaining sufficient Credits in your user account to avoid any disruptions in accessing the Services. You may purchase the Credits as needed to access the Services, and the Credits will only be deducted upon transaction usage.
  4. The Credits can be purchased on the Platform using available payment methods, including but not limited to credit cards, debit cards, and online banking, as facilitated through secure and trusted third-party payment processors. All payment transactions and your card information are encrypted and protected in accordance with industry security standards. We reserve the right to introduce, modify or discontinue, temporarily or permanently, any payment methods without prior notice.
  5. All fees paid and Credits allocated are non-refundable under any circumstances, including but not limited to of your user account and access to the Platform or any unused credits. Credits are non-transferable and can only be used by you and must be utilised within the designated validity period by DagangHalal, if applicable.
  6. The Credits do not represent any form of currency and have no monetary value outside the Platform. They cannot be exchanged, redeemed for cash, or converted into any other form of compensation.
  7. If we detect any kind of fraudulent activity, hacking, manipulation, misuse, or unauthorised transactions involving the Credits, we reserve the right to revoke or forfeit your Credits without compensation, and we reserves the right to suspend or terminate your user account and access to the Platform.

7. INTELLECTUAL PROPERTY AND OWNERSHIP

  1. DagangHalal and/or its licensors, own all intellectual property rights in the Platform, including but not limited to copyrights, trademarks, designs, patents, trade name, domain name, algorithms, software, source code, compliance frameworks, models, methodologies, system processes, databases, and other proprietary materials provided or made available as part of the Platform and Services. These rights extend to any improvements, updates or modifications made to the Platform from time to time (collectively, “Intellectual Property”).
  2. Nothing in these Terms grants you any rights, title, or interest in or to the Intellectual Property, except for the limited, non-exclusive, and non-transferable right to use the Platform as expressly permitted under these Terms. All rights not expressly granted under these Terms are reserved by DagangHalal and/or its licensors. Any permissions granted shall be revoked immediately upon termination of your user account.
  3. Except where we have specifically granted prior written permission, you shall not copy, modify, reproduce, distribute, sublicense, or create derivative works, reverse-engineer, decompile, extract, or otherwise attempt to exploit any part of the Platform or its underlying technology, or any Intellectual Property associated with it.
  4. You agree and acknowledge that the IoT devices installed at your designated location shall remain the sole property of DagangHalal. You are granted a limited, non-transferable right to use the IoT devices solely for the purpose of accessing the Platform and Services. You shall not sell, lease, tamper with, or otherwise dispose of the IoT devices.

8. OWNERSHIP OF DATA AND CONFIDENTIALITY

  1. You retain full ownership of all data, content, information, materials, product information and other materials that you submit, upload, input or provide on the Platform when using the Services (collectively, “User Data”).
  2. By using the Platform, you grant us the right to process, store, and use your User Data for the purpose of providing the Service. While we process and store the User Data as part of the Platform’s operation, we do not own, control, verify, endorse, or assume any liability for its accuracy, legality, or compliance.
  3. You are solely responsible for ensuring that your User Data is accurate, complete, up-to-date, lawful, secure, and appropriate for use within the Platform. You shall not submit any User Data that is false, misleading, or non-compliant with applicable laws and standards.
  4. You agree and acknowledge that any reports, analyses, or data generated by the Platform are based on the provided User Data and any inaccuracies, omissions, or errors in the User Data may impact the accuracy, reliability, and completeness of such reports, analyses, and data. Therefore, we disclaim any liability for losses, damages, or issues arising from the accuracy, legality, appropriateness of your User Data.
  5. We will not disclose or share your User Data to any third parties, except where:
    1. required by law, regulation, court order, or governmental request;
    2. necessary to provide the Services under these Terms; or
    3. authorised by you through prior written consent or as otherwise permitted under applicable agreements.
  6. Upon termination of your user account as prescribed under these Terms, we may need to retain your User Data for a reasonable period, as required to comply with applicable laws, regulatory requirements, or internal record-keeping policies.
  7. You shall maintain the confidentiality of any proprietary or sensitive information obtained through the Platform and you agree not to disclose, share, or use such information for any purpose other than as required to use the Platform and its Services.

9. SERVICES/PLATFORM AVAILABILITY AND INTERRUPTIONS

  1. The Services are available exclusively through the Platform. We reserve the right to limit the availability of the Platform and/or provision of our Services to any person or entity, geographic region, or jurisdiction. This right may be exercised at our sole discretion on a case-by-case basis.
  2. You acknowledge and agree that the Platform may be occasionally unavailable due to scheduled maintenance, updates, system enhancements, infrastructure upgrade, repairs or replacements. We will provide prior notice of such activities where feasible. Additionally, unplanned service disruptions may occur due to technical issues, cybersecurity threats, or factors beyond our control. In such cases, we will take reasonable steps to investigate and resolve the issue as soon as practicable to restore access to the Platform. You agree that you are responsible for maintaining regular backups of any User Data stored on the Platform.
  3. We reserve the right, at our sole discretion, to add, remove, or modify functionalities, performance, user interface, or features of the Platform, as well as to suspend or discontinue the Services and/or the Platform, whether temporarily or permanently, with prior notice where feasible. In the event of a permanent discontinuation of the Services and/or the Platform, we may allow you to retrieve your User Data held on the Platform within a designated timeframe, however, we are not obligated to assist in such retrievals unless otherwise expressly agreed upon.

10. DISCLAIMER OF WARRANTIES

  1. The Platform is provided on an “as is” and “as available” basis, without any warranties of any kind (to the fullest extent permitted by law), whether express or implied, including but not limited to:
    1. the Platform is not warranted to be fit for a particular purpose, including merchantability, non-infringement, or any implied warranty;
    2. the Platform is not warranted to be compatibility with your specific requirements, activities, devices, operating systems, browsers, software, or tools; and
    3. the Platform (or any part or its feature) is not warranted to be error-free, complete, accurate, absence of viruses, bugs, or other harmful components, nor do we warrant uninterrupted availability of the Services and the Platform.
  2. We do not endorse any third-party applications, product, or services made available through the Platform (if any) (collectively, “Third-Party Applications”). If you choose to engage with any such Third-Party Applications, you shall verify their suitability, legality and security before using or otherwise engaging them. All risks associated with engaging with the Third-Party Applications, including any damages or losses are solely borne by you.

11. LIMITATION OF LIABILITY

  1. To the fullest extent permitted by law, DagangHalal, its officers, directors, shareholders, employees, affiliates, partners, successors, assigns and agents shall not be liable to you for any direct, indirect, incidental, special, punitive, exemplary, or consequential damages whatsoever, including any damages resulting from:
    1. errors, mistakes, or inaccuracies in any User Data;
    2. any personal injury or property damage related to your use of the Platform;
    3. any interruption or failure in transmission to or from the Platform that beyond our reasonable control;
    4. events beyond the reasonable control of DagangHalal, including any internet failures, equipment failures, electrical power failure, cyberattacks, hacking, or hostile network activities, strikes, labour disputes, riots, insurrections, pandemics, civil disturbances, shortages of labour or materials, fires, floods, storms, earthquakes, explosions, acts of God, war, terrorism, intergalactic struggles, governmental actions or order, orders of courts, agencies or tribunals, or non-performance of third parties; and
    5. loss of use, data, profits, goodwill, or other intangible losses, resulting from the use or the inability to use any or all parts of the Platform.

12. INDEMNITY

You agree to indemnify and hold harmless DagangHalal, its officers, directors, shareholders, employees, affiliates, partners, successors, assigns, and agents, as the case may be, from and against any claims, demands, actions, liabilities, losses, damages, costs and expenses (including without limitation, all legal fees and costs) arising out of or in connection with:

  1. your use or misuse of the Platform, including but not limited to any unauthorised access, security breaches caused by your actions or omissions;
  2. any breach of these Terms or applicable laws, or any infringement or violation of third-party intellectual property or proprietary rights; and/or
  3. any act or omission by you that result in harm, loss, or liability to DagangHalal or any third-party.

13. CHANGES TO THESE TERMS

DagangHalal reserves the right to modify these Terms at any time and any such changes will take effect once an updated version is posted on the Platform. Your continue use of the Platform  and the Services after the publication of the updated Terms are deemed to accept the updated Terms in their entirety. You agree that it shall be your responsibility to review these Terms regularly to stay informed of any updates. If you disagree with any part of these Terms or its subsequent changes or updates, you should discontinue your use of our Platform.

14. GOVERNING LAW AND JURISDICTION

These Terms are governed by, and construed in accordance with, the laws of Malaysia. The courts of Malaysia are to have exclusive jurisdiction to settle any disputes which may arise out of or in connection with these Terms.

15. MISCELLANEOUS

  1. If any provisions of these Terms or part thereof are rendered void, illegal or unenforceable by applicable laws, it shall be rendered void, illegal or unenforceable to that extent and it shall in no way affect or prejudice the enforceability of the remainder of other provisions of these Terms.
  2. Nothing in these Terms shall be construed as creating any agency, partnership, joint venture, employer-employee, or franchisor-franchisee relationship between us.
  3. You may not assign, transfer or sub-contract any of your rights and obligations under these Terms to any other person without our prior written consent. We may assign, transfer or sub-contract all or any of our rights and obligations under these Terms at any time without your consent to our subsidiary or related/affiliated company, an acquirer of our equity, business or assets or a successor by merger.
  4. If a party waives any right under these Terms, it must be done in writing. No failure to exercise, and no delay in exercising, on the part of either party, any right or any power hereunder shall operate as a waiver thereof, nor shall any single or partial exercise of any right or power hereunder preclude further exercise of that or any other right hereunder. A waiver of a breach of a term in these Terms does not operate as a waiver of another breach of the same term or any other term.
  5. In the event of any inconsistency between different language versions of these Terms, the English version shall prevail.
